End User License Agreement

The end user license agreement for Pocketsflow.

Effective Date: September 28, 2025

1. Agreement Overview and Strict Enforcement

This End User License Agreement (“EULA”) is a legally binding agreement between you (“User” or “You”) and Pocketsflow operated by Pocketsflow, Inc.regarding your use of Pocketsflow software applications, including desktop applications, mobile applications, and associated documentation (collectively, the “Software”).

Zero Tolerance Policy: Any violation of this EULA will result in immediate license termination, account suspension, and potential legal action without warning or opportunity to cure.

2. License Grant

2.1 Grant of License

Subject to the terms of this EULA, Pocketsflow grants you a limited, nonexclusive, nontransferable, revocable license to download, install, and use the Software for your personal or commercial use in accordance with the terms set forth herein.

2.2 Scope of License

  • Use the Software on devices you own or control
  • Make one backup copy of the Software for archival purposes
  • Use the Software in connection with the Pocketsflow marketplace
  • Receive automatic updates and patches

3. License Restrictions

You may NOT:

  • Copy, distribute, or reproduce the Software except as expressly permitted
  • Modify, adapt, alter, translate, or create derivative works
  • Reverse engineer, decompile, disassemble, or attempt to derive source code
  • Remove, alter, or obscure any proprietary notices or labels
  • Rent, lease, lend, sell, or sublicense the Software
  • Use the Software for any illegal or unauthorized purpose
  • Circumvent any security measures or access controls
  • Use the Software to develop competing products or services

4. Permitted Uses

4.1 Personal Use

  • Managing your Pocketsflow seller account
  • Uploading and managing digital products
  • Processing customer orders and communications
  • Accessing marketplace analytics and reports

4.2 Commercial Use

  • Operating a business through the Pocketsflow platform
  • Managing multiple product listings
  • Processing high volume transactions
  • Integrating with business workflows

5. Software Updates and Maintenance

5.1 Automatic Updates

The Software may automatically check for and install updates. You consent to such automatic updates, which may modify or delete certain features or functionalities.

5.2 Version Compatibility

  • Older versions may become unsupported
  • Security updates are mandatory
  • Feature updates may require user acceptance
  • Beta versions are provided “as is” without warranty

6. Data Collection and Privacy

6.1 Data Collection

The Software may collect:

  • Usage statistics and performance data
  • Error reports and crash logs
  • Device information and system specifications
  • User interaction patterns

6.2 Privacy Compliance

Data collection and use are governed by our Privacy Policy. The Software will respect your privacy settings and applicable data protection laws.

7. Third Party Integrations

7.1 Third Party Services

The Software may integrate with:

  • Payment processing services
  • Cloud storage services
  • Analytics platforms
  • Social media platforms
  • Email service providers

7.2 Third Party Terms

Use of third party services through the Software is subject to their respective terms of service and privacy policies. We are not responsible for third party service availability or functionality.

8. Intellectual Property Rights

8.1 Ownership

Pocketsflow retains all rights, title, and interest in the Software, including all intellectual property rights. This EULA does not grant you any rights to trademarks, service marks, or other intellectual property.

8.2 User Content

You retain ownership of content you create or upload through the Software, but grant Pocketsflow necessary licenses to provide the service.

9. Termination

9.1 Termination by You

You may terminate this EULA by uninstalling the Software and destroying all copies in your possession.

9.2 Termination by Pocketsflow

We may terminate this EULA if you:

  • Violate any terms of this agreement
  • Engage in prohibited activities
  • Fail to pay applicable fees
  • Violate our Terms of Service

9.3 Effect of Termination

Upon termination:

  • Your license to use the Software immediately ends
  • You must uninstall and delete all copies
  • Certain provisions survive termination
  • Access to cloud based features may be restricted

10. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON INFRINGEMENT.

10.1 No Warranty of Functionality

  • Software may contain bugs or errors
  • Functionality may be interrupted or unavailable
  • Updates may introduce new issues
  • Third party integrations may fail

11. Limitation of Liability

IN NO EVENT SHALL POCKETSFLOW BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

11.1 Maximum Liability

Our total liability for any claims related to the Software shall not exceed the amount you paid for the Software in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Pocketsflow from any claims, damages, or expenses arising from your use of the Software or violation of this EULA.

13. Export Compliance

The Software may be subject to export control laws. You agree to comply with all applicable export and import laws and regulations.

14. Governing Law and Jurisdiction

This EULA is governed by the laws of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved in Delaware state or federal courts.

15. Severability

If any provision of this EULA is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

This EULA constitutes the entire agreement between you and Pocketsflow regarding the Software and supersedes all prior agreements and understandings.

17. User Review and Software Access Control

17.1 Continuous User Monitoring

All software users are subject to ongoing monitoring and review:

  • Usage Pattern Analysis: Continuous monitoring of software usage patterns
  • Compliance Verification: Regular checks for EULA compliance and proper usage
  • Security Audits: Periodic security assessments and vulnerability monitoring
  • Performance Reviews: Evaluation of software performance and user behavior
  • Access Rights Assessment: Regular review of user access privileges and permissions

17.2 Immediate Termination Authority

We reserve the right to immediately terminate software access for:

  • Any violation of EULA terms, regardless of severity
  • Suspicious usage patterns or unauthorized activities
  • Security threats or potential system compromise
  • Failure to maintain compliance with platform policies
  • Any behavior that threatens software integrity or security
